1. Acceptance of Terms

By accessing or using the Smartweld AI platform, website, or any associated services (collectively, the "Services"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not access or use the Services. These Terms and Conditions apply to all users, clients, and visitors, including but not limited to individuals, companies, and organizations accessing the Services on behalf of a third party.

2. Description of Services

Smartweld AI provides a cloud-based software platform designed to support quality control inspection workflows, weld documentation, and facility mapping for industrial operations. The Services are provided on a subscription basis and may be subject to additional terms outlined in a separate client agreement or service order.

4. Account Registration and Security

To access the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Smartweld AI immediately of any unauthorized access or use of your account. Smartweld AI will not be liable for any loss or damage arising from your failure to protect your account credentials.

5. Subscription and Payment

Access to the Smartweld AI platform is provided on a subscription basis. Subscription fees, payment terms, and billing cycles will be outlined in your service agreement or order form. All fees are non-refundable unless otherwise agreed in writing. Smartweld AI reserves the right to suspend or terminate access to the Services in the event of non-payment. The subscription basis of this arrangement may be changed at the express discretion of Smartweld AI.

6. Confidentiality and Non-Disclosure

Smartweld AI understands that clients may be required to share sensitive facility documentation, technical drawings, and operational data as part of the onboarding process. All facility data, technical documentation, and client information shared with Smartweld AI will be treated as strictly confidential. Smartweld AI will not disclose, share, or use client data for any purpose other than the provision of the Services. Clients are encouraged to enter into a separate Non-Disclosure Agreement prior to the sharing of any proprietary documentation. The existence of such an NDA does not limit the confidentiality obligations set out in these Terms.

7. Data Security

Smartweld AI employs industry-standard security measures to protect client data, including encrypted data transfer, access-controlled cloud storage, and role-based permissions. While Smartweld AI takes all reasonable steps to safeguard your data, no system is entirely free from risk. Smartweld AI does not accept liability for unauthorized access resulting from circumstances beyond its reasonable control.

8. Intellectual Property

All technology, software, algorithms, interfaces, content, and materials comprising the Smartweld AI platform are the exclusive intellectual property of Smartweld AI and are protected by applicable copyright, patent, and trade secret laws. Nothing in these Terms grants you any ownership interest in the platform or its underlying technology. You may not copy, reverse engineer, decompile, modify, or create derivative works based on any part of the Services without the express written consent of Smartweld AI.

9. Client Data Ownership

You retain full ownership of all data, drawings, and documentation you provide to Smartweld AI in connection with the Services. By providing such data, you grant Smartweld AI a limited, non-exclusive license to process and use that data solely for the purpose of delivering the Services to you. Smartweld AI will not use your data for any commercial purpose beyond the scope of your service agreement.

10. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services to transmit unlawful, harmful, or fraudulent content, to infringe the intellectual property rights of any third party, to interfere with or disrupt the integrity or performance of the platform, or to attempt to gain unauthorized access to any system, network, or data.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Smartweld AI shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of revenue, loss of data, or project delays. Smartweld AI's total liability to you for any claim arising from the use of the Services shall not exceed the total fees paid by you to Smartweld AI in the three months preceding the claim.
